Service Agreement DNI
This agreement (the “Agreement”) is entered into between the Customer, as stated at the bottom of the agreement, and DotNet Internals AS (DNI). The agreement generally applies to all services and solutions provided by DNI, described in the accepted offer or in the appendix “Description of solutions.
In addition to this document, the Agreement includes the following documents:

If the above is not attached to the Agreement, the Customer may request the documents from DNI.
Prerequisites for the implementation of projects, change assignments and support assignments are defined as follows:
The customer is responsible for having the necessary software, licenses and hardware available before DNI begins its delivery unless otherwise agreed.
It is assumed that the Customer and DNI respond quickly by phone and email for clarifications during the entire period of the assignment.
It is also assumed that the Customer’s systems such as VPN, servers and access are available and functioning.
Failure to comply with the above may lead to delays and additional costs for the Customer.
Any changes to the Agreement may be made by email, but are not valid until accepted by DNI.
DNI Services
DNI’s services are defined in the accepted offer and in the appendix “Description of solutions”, as well as the support agreement.
Services in the form of projects and change assignments are performed on a rolling basis according to estimates with a +/- 20% deviation. Deviations within 20% are not reported and any deviations beyond this are made in consultation between DNI and the Customer (e.g. changes requested by the Customer during the project).
Fixed price can be agreed upon request.
Third-party services
None, beyond what is specified in Appendix 1-3, unless this is specified in the accepted offer or later agreed.
Fee
If services under the Agreement are cancelled less than seven working days before the agreed start time, the Customer will be charged 50% of the estimate. If services are cancelled one working day or less before the start time, the Customer will be charged 100% of the estimated price.
Hours spent on projects and change assignments are invoiced according to agreed milestones and no later than when acceptance testing has been completed. For invoicing of support hours, please refer to the support agreement.
Licenses are invoiced from the first day the product is installed on the Customer’s server or on a Third Party Solution if agreed, regardless of whether the delivered solution has been put into daily operation or put into use by the Customer.
Support agreement is invoiced upon commissioning of the first service.
Payment terms
Payment must be made within 30 days of the invoice date.
Attendance costs, travel costs and expenses Travel between DNI’s premises (see address below) and the Customer is charged to the Customer. Travel time is charged at 100% of the normal hourly rate per commenced travel hour. Travel outside the Customer’s usual meeting place must be approved by the Customer.
Support agreement
When delivering a service or product from DNI, a minimum support plan is required to ensure follow-up. It is recommended to familiarize yourself with DNI’s support agreements to adjust response time and scope as needed.
Cancellation and period
License and support agreements are valid for 12 months at a time and are automatically renewed unless otherwise agreed or one of the parties has terminated the Agreement in writing no later than 3 months before the end of the period.
Evaluation and reference
DNI may, by agreement, use the Customer as a reference on its websites and in marketing materials after the IT services have been delivered.

The Agreement generally applies to all licensed services and solutions provided by DNI, solutions described in the accepted offer or in this appendix “Description of solutions. This appendix is used when necessary and is usually not required.
